These Terms of Service (“Terms”) govern your access to and use of Social Stream, a service operated by Ranked on Top LLC (“Social Stream,” “Ranked on Top,” “we,” “us,” or “our”).
By creating an account, checking an authorization box, clicking an authorization button, or using Social Stream, you agree to these Terms. If you do not agree, do not authorize or use the service.
## 1. Eligibility and authority
You represent and certify that:
1. You are at least 18 years old and legally capable of entering into this agreement.
2. The information you provide is accurate.
3. You are the listing agent, or an authorized representative of the listing agent, for listings connected to your verified MLS identity.
4. You have sufficient authority to grant the permissions described in these Terms.
5. Your authorization does not violate any agreement with a seller, photographer, brokerage, MLS, association, data provider, or other rights holder.
You are not claiming that you own the listed property or necessarily own the copyright to every photograph. You are certifying that you have authority to authorize the permitted use.
## 2. Listings covered by your authorization
Your authorization applies to all current and future listings associated with the MLS identity or identities verified and connected to your Social Stream account.
This authorization is agent-specific. It does not authorize the use of listings belonging to another agent unless you are separately authorized to act for that agent.
A brokerage-wide authorization must be granted separately by a principal broker or other authorized brokerage representative.
## 3. Permission to use listing materials
You grant Ranked on Top LLC and Social Stream a non-exclusive, royalty-free license to use listing photographs, videos, listing facts, property descriptions, agent information, brokerage information, and related listing materials for the purposes of:
* Creating listing videos, graphics, flyers, social-media content, webpages, captions, advertisements, and other marketing materials;
* Publishing and displaying those materials on Social Stream, Relerra, YouTube, search engines, social-media platforms, and other marketing channels;
* Promoting your listings and your real-estate services;
* Resizing, formatting, editing, combining, captioning, and adapting listing materials for those purposes; and
* Providing the technical services necessary to create, store, distribute, and display the marketing.
This license includes permission to use service providers and third-party platforms solely as reasonably necessary to provide and distribute the service.
You retain any ownership rights you hold. These Terms do not transfer ownership of your photographs, trademarks, listing information, or other materials to Social Stream.
## 4. Free service and paid services
The listing authorization and included Social Stream listing-promotion service are **100% free**.
No credit card is required. You will not be charged merely because you create an account, authorize your listings, or use the included free service.
Social Stream may offer optional paid products or upgrades in the future. You will not be charged for an optional paid service unless you separately select that service, receive its price and material terms, and expressly approve the purchase.
Your authorization under these Terms is not an enrollment in an automatic renewal, free trial, or recurring subscription.
## 5. Publication and privacy status
Authorization allows Social Stream to publish eligible marketing publicly, including on YouTube and other third-party platforms.
Authorization does not guarantee that every listing or video will be made public. Publication remains subject to:
* Applicable laws and regulations;
* MLS and data-license requirements;
* Brokerage rules;
* Social Stream safety and publishing rules;
* Third-party platform policies;
* Available listing data and media;
* Technical availability; and
* Review requirements.
Social Stream may keep content unlisted, decline publication, suspend promotion, or require additional review when appropriate.
Social Stream will not automatically change a video marked private without additional review.
## 6. Attribution
When reasonably available, Social Stream will identify the listing agent and brokerage using listing-feed or account information.
The intended attribution format is substantially similar to:
**Listed by [Agent Name] at [Brokerage Name]**
Attribution does not imply that the agent, brokerage, MLS, property owner, or other party endorses Social Stream beyond the permission actually granted.
You are responsible for notifying us if your name, brokerage, license information, or listing attribution is incorrect.
## 7. Third-party platforms
Marketing may appear on third-party services such as YouTube, Google, Facebook, Instagram, and other websites or platforms.
Those services operate under their own terms and policies. Social Stream does not control:
* Search rankings;
* Platform availability;
* Algorithm changes;
* Advertising approval;
* Viewer engagement;
* Platform removals;
* Account restrictions; or
* How quickly third-party platforms update or remove content.
Your use of third-party services may also be subject to their separate terms.
## 8. Opting out and revocation
You may revoke authorization for future listing promotion by contacting Social Stream.
Revocation will stop future publication or promotion under your agent-level permission after we have had a reasonable opportunity to process the request.
Revocation does not automatically delete or remove marketing materials created or published before the revocation date. Previously published materials may remain online, embedded, indexed, archived, shared, or stored by Social Stream or third parties.
You may separately request removal of previously published Social Stream materials. A removal request may require identity and authority verification.
Social Stream may charge a **$5 administrative removal fee per video**. You will be shown the fee and asked to approve it before being charged. No removal fee will be charged automatically.
Removal from third-party platforms, search indexes, caches, archives, or copies controlled by other parties cannot be guaranteed.
## 9. Account security
You are responsible for protecting access to your email account, secure links, passwords, and Social Stream account.
You must promptly notify us if you believe your account or MLS identity has been claimed or accessed without authorization.
You may not:
* Claim another person’s listing or MLS identity;
* Provide false identity or authority information;
* Interfere with the service;
* Attempt to bypass security controls;
* Upload unlawful, infringing, deceptive, or malicious content; or
* Use Social Stream to impersonate another person or organization.
We may suspend an account or permission while investigating suspected misuse.
## 10. Communications
You authorize Social Stream to send transactional emails reasonably necessary to:
* Verify your email or identity;
* Deliver secure continuation links;
* Confirm authorization;
* Provide listing-video or marketing links;
* Notify you about account or listing activity;
* Respond to support requests; and
* Communicate important service or Terms updates.
Agreement to these Terms does not, by itself, authorize unrelated marketing text messages or automated telephone calls.
Any future marketing-text or automated-call program will require any separate consent required by applicable law.
## 11. No guaranteed results
Social Stream does not guarantee:
* First-page Google placement;
* Any particular search-engine position;
* A specific number of views, clicks, inquiries, leads, or sales;
* Continuous availability of any video, webpage, or platform;
* That every listing will qualify for every marketing feature; or
* That third-party platforms will accept, display, index, or retain content.
Examples of rankings or marketing performance are illustrative and may change.
## 12. Accuracy of listing information
Social Stream may rely on information provided by MLS feeds, agents, brokerages, public records, third-party services, and users.
You are responsible for reviewing your marketing materials and promptly reporting material inaccuracies.
We may correct, suspend, or remove content that appears inaccurate, outdated, unlawful, unauthorized, or inconsistent with applicable rules.
## 13. Intellectual-property complaints
If you believe content used by Social Stream infringes your copyright or other rights, contact us and provide:
* Your name and contact information;
* Identification of the protected work;
* Identification of the material at issue;
* The listing or URL involved;
* An explanation of your rights; and
* A statement that your report is accurate.
We may restrict or remove disputed material while reviewing the complaint.
## 14. Social Stream intellectual property
Social Stream’s software, branding, layouts, templates, graphics, workflows, and original content remain the property of Ranked on Top LLC or its licensors.
Your listing authorization does not transfer ownership of Social Stream technology or templates to you.
Unless separately permitted, you may not copy, resell, reverse engineer, or commercially redistribute Social Stream software or proprietary templates.
## 15. Service changes and availability
We may modify, improve, suspend, or discontinue features.
We may impose reasonable technical limits, review requirements, or eligibility rules to protect the service, comply with applicable requirements, or manage platform capacity.
If a material Terms change expands the listing authorization or introduces charges, we may require a new affirmative acceptance.
## 16. Disclaimer of warranties
To the fullest extent permitted by law, Social Stream is provided “as is” and “as available.”
Ranked on Top LLC disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
## 17. Limitation of liability
To the fullest extent permitted by law, Ranked on Top LLC and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, lost data, lost goodwill, platform actions, or search-ranking changes arising from the service.
For a claim connected to the free service, Ranked on Top LLC’s aggregate liability will not exceed the greater of:
* The amount you paid Social Stream during the 12 months before the claim; or
* One hundred dollars ($100).
This limitation does not apply where liability cannot legally be limited.
## 18. Indemnification
To the extent permitted by law, you agree to defend and indemnify Ranked on Top LLC against third-party claims arising from:
* A false certification of your identity or authority;
* Materials you provide;
* Your violation of another party’s copyright, privacy, contractual, or other rights;
* Your misuse of the service; or
* Your material violation of these Terms.
This obligation does not apply to the extent a claim resulted from Ranked on Top LLC’s own unlawful conduct.
## 19. Termination
You may stop using Social Stream at any time.
We may suspend or terminate access when reasonably necessary because of:
* Suspected fraud or unauthorized identity claims;
* Violations of these Terms;
* Legal, MLS, brokerage, or platform requirements;
* Security risks;
* Nonpayment of a separately approved paid service; or
* Discontinuation of the service.
Sections that logically should survive termination—including prior licenses for already-published materials, intellectual-property provisions, disclaimers, liability limits, indemnification, and dispute provisions—will survive.
## 20. Governing law and disputes
These Terms are governed by Oregon law, without regard to conflict-of-law rules.
Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally by written notice.
Any court proceeding must be brought in an Oregon state court located in Josephine County or a federal court having jurisdiction over Josephine County, unless applicable law requires otherwise.
## 21. Electronic acceptance and records
Checking the authorization box and clicking **AUTHORIZE MY LISTINGS — 100% FREE** constitutes your electronic acceptance of these Terms.
Social Stream may retain records of your acceptance, including:
* Your account and verified MLS identity;
* The Terms version;
* The date and time;
* The listing that initiated the authorization;
* Technical request information; and
* Your subsequent revocation, if any.
## 22. Entire agreement
These Terms, together with the Privacy Policy and any separately accepted paid-service terms, constitute the agreement between you and Ranked on Top LLC concerning Social Stream.
If a provision is found unenforceable, the remaining provisions will remain in effect.
A failure to enforce a provision is not a waiver of that provision.
